Agreement to Terms

These Terms of Service ("Terms") govern your use of our website and file conversion services operated by ICS File ("us," "we," or "our"). If you disagree with any part of these terms, then you may not access the Service.

Service Description

ICS File provides online tools for converting calendar files between various formats. We offer a free tier and a paid Premium subscription:

Browser-Based Services

These run entirely on your own device. They are available on both the free tier and Premium, subject to the monthly allowance set out below:

• • ICS (iCalendar) to CSV conversion
• • CSV to ICS (iCalendar) conversion
• • ICS to Excel (.xlsx) conversion
• • Excel to ICS conversion
• • ICS to and from TXT, JSON, and PDF conversion
• • ICS file viewer, creator, editor, and validator
• • Merging and splitting ICS files
• • Calendar event inspection, statistics, and reporting

AI-Assisted Service

One tool works differently and is subject to the additional terms in the AI Conversion Tool section below:

• • Anything to ICS — extracts calendar events from images, PDFs, spreadsheets, and text. This tool processes your file on a server using a third-party AI service, and is limited to a set number of conversions per month. On the free tier this tool is preview only: the extracted events are all shown to you on screen, but saving them as a calendar file requires Premium or a purchased conversion pack.

Subscriptions, Billing and Refunds

Merchant of record

Premium subscriptions

Premium is sold as a recurring subscription, billed weekly or monthly depending on the plan you choose. Prices are shown inclusive or exclusive of tax as required in your country, and the final amount payable is displayed at checkout before you confirm.

One-time AI conversion packs

AI conversion packs are a single, non-recurring purchase. Once granted, purchased conversions do not expire and are spent only after your monthly allowance is used up. They are tied to the account that bought them and cannot be transferred.

Automatic renewal

Subscriptions renew automatically at the end of each billing period until cancelled. You will be charged the then-current price for your plan at each renewal, using the payment method held by Paddle.

Cancellation

You may cancel at any time from your account's billing page, or by emailing icsfile@protonmail.com. On cancellation:

• • Your subscription stays active until the end of the period you have already paid for
• • You keep Premium access for that whole period
• • No further charges are taken
• • Your account then reverts to the free tier, with its monthly allowance
• • Any AI conversions you bought outright remain on the account and are unaffected

Refund policy

Failed payments

If a renewal payment fails, your subscription is marked past due and Premium features are suspended until payment succeeds. Paddle will attempt to collect payment again and will contact you. Your account, its history, and any purchased AI conversions are retained.

Price changes

We may change our prices. Existing subscribers keep the price they signed up at for as long as their subscription remains continuously active; a new price applies only from the first renewal after at least 30 days' notice, or if you resubscribe after cancelling. Continuing to use the Service after a price change takes effect constitutes acceptance of it.

Accounts

The free tier does not require an account. An account is required to subscribe to Premium or to buy AI conversion packs, so that the purchase can follow you between devices. You may create one with an email address and password, or by signing in with a supported third-party provider.

• • Keep your password confidential and do not share your account
• • You are responsible for activity carried out under your account
• • Tell us promptly at icsfile@protonmail.com if you believe it has been accessed by someone else
• • One account per person or organisation; do not create accounts to obtain extra free allowance

Closing your account

You may ask us to delete your account at any time by emailing icsfile@protonmail.com. Any active subscription is cancelled, remaining paid time is honoured unless you also request a refund, and account data is deleted as described in our Privacy Policy. Deletion is permanent, and unused purchased conversions are forfeited.

Privacy and Data Processing

Our Privacy Policy sets out in full what is and is not processed, including for the AI tool, and forms part of these Terms.

AI Conversion Tool

These additional terms apply only when you use the Anything to ICS tool. They do not affect any other part of the Service.

Third-Party Processing

Files you submit to this tool are transmitted to Anthropic's API for processing and are discarded once the events are returned. We do not store them. Anthropic's handling of that data is governed by its own terms and privacy policy, over which we have no control. We are not responsible for the availability, accuracy, or conduct of that third-party service.

What You May Upload

By using this tool you confirm that:

• • You own the file, or otherwise have the right to upload it and have it processed
• • You will not upload confidential, commercially sensitive, or legally privileged material
• • You will not upload other people's personal data unless you have a lawful basis to do so, and will not upload special-category data such as health, biometric, or financial records
• • You will not upload material that is unlawful, or that you are contractually barred from disclosing

Usage Limits

• • Use is capped per month, and by file size and file count. The limits in force are shown on the tool's page and depend on whether you are on the free tier or Premium.
• • Additional conversions may be bought as a one-time pack. Purchased conversions do not expire and are spent only after the monthly allowance is used up.
• • You agree not to circumvent, or attempt to circumvent, those limits — including by rotating IP addresses, scripting the endpoint, or using proxies or automated tools to obtain additional conversions.
• • The tool also operates under an overall capacity ceiling. When that ceiling is reached it will report itself unavailable until the ceiling resets. No other tool on the site is affected.

Availability

Because this tool depends on a paid third-party service, we may change its limits, restrict it, or withdraw it at any time. The browser-based tools carry no such dependency.

If we withdraw the AI tool permanently, or reduce the allowance included in a plan you are paying for, we will refund the unused portion of your current billing period and the full value of any unused purchased conversions. We do not otherwise guarantee any particular allowance beyond the period you have paid for.

Acceptable Use Policy

You may use our Service for any lawful purpose. You agree not to use the Service:

• • For any unlawful purpose or to solicit others to perform unlawful acts
• • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• • To submit false or misleading information
• • To upload or transmit viruses or any other type of malicious code
• • To spam, phish, pharm, pretext, spider, crawl, or scrape
• • For any obscene or immoral purpose
• • To interfere with or circumvent the security features of the Service
• • To circumvent the usage limits on any tool — including by rotating IP addresses, creating multiple accounts, scripting an endpoint, or using proxies or automated tools to obtain additional free allowance
• • To share, resell, or otherwise make a Premium subscription available to people who have not paid for it
• • To submit material to the AI conversion tool that you have no right to upload, or that contains other people's personal data without a lawful basis

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of ICS File and its licensors. The Service is protected by copyright, trademark, and other laws.

Our Rights

• • We reserve all rights in the Service not expressly granted to you
• • You may not copy, modify, distribute, sell, or lease any part of our Service
• • You may not reverse engineer or attempt to extract the source code of our Service

Your Rights

• • You retain all rights to your calendar files and data
• • You may use the Service for personal and commercial purposes
• • You may share the converted files without restriction

Disclaimers

No Warranties

We do not warrant that:

• • The Service will meet your specific requirements
• • The Service will be uninterrupted, timely, secure, or error-free
• • The results obtained from the use of the Service will be accurate or reliable
• • Any errors in the Service will be corrected
• • The AI conversion tool will be available, or will remain available on any given terms

AI-Generated Output

Output from the AI conversion tool is produced by a machine learning model and is provided without any warranty of accuracy, completeness, or fitness for purpose. It may contain errors, including incorrect dates, times, time zones, or details, and may omit events present in your file. We expressly disclaim liability for any loss arising from reliance on that output, including missed or mis-scheduled appointments. Review every event before use.

Limitation of Liability

Limitation of Liability

IN NO EVENT SHALL ICS FILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

• • Loss of data or files
• • Loss of profits or revenue
• • Business interruption
• • Loss of use or corruption of software or data
• • Any other commercial or personal losses

This limitation applies whether such liability arises from negligence, breach of contract, or any other cause of action, even if we have been advised of the possibility of such damages.

Where liability cannot lawfully be excluded, our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the greater of (a) the total amount you paid us in the twelve months before the event giving rise to the claim, or (b) USD 50. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded under the law that applies to you — including your statutory rights as a consumer.

Indemnification

You agree to defend, indemnify, and hold harmless ICS File from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• • Your use of and access to the Service
• • Your violation of any term of these Terms
• • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• • Any claim that your use of the Service caused damage to a third party

Termination

We may suspend or terminate your access to the Service if you breach these Terms — in particular the Acceptable Use Policy — or where we are required to by law. Where the breach is not serious and can be put right, we will contact you first and give you a reasonable chance to fix it.

If we terminate a paid account for a reason other than your breach of these Terms, we will refund the unused portion of your current billing period and the value of any unused purchased conversions. If we terminate it because of your breach, no refund is due.

On termination your right to use the Service ends. We store no user files at any point, so termination affects your account record and access only — see our Privacy Policy for what we hold and for how long.

Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which ICS File operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
